Terms of Service
1. Who we are
ACS Gate Access Control Systems, registration number [company registration number], VAT number [VAT registration number], of [registered address]. Contact: [support telephone number], [privacy contact email].
2. This website
The descriptions, screenshots, simulated decodes and calculated figures on this website are provided to explain the product. Illustrative figures (including any saving or throughput estimate produced by the ROI calculator) are estimates based on the inputs you supply and the assumptions stated on the page; they are not a quotation, a guarantee of results, or a commitment to a particular level of performance.
Prices shown are in South African Rand, exclude VAT unless stated otherwise, and exclude hardware, installation, cabling, site survey and any third-party licence. Prices may change with 30 days' notice; a change never applies retroactively to a paid-up period.
3. Subscriptions and payment
- Subscriptions are billed monthly or yearly in advance, and renew automatically until cancelled.
- Yearly subscriptions are billed for the full year and the discount shown applies to that year only.
- Access to the platform and to registered devices requires an active subscription. Where a subscription lapses, capture at the gate continues and records are queued, but portal access, reporting and uploads are suspended until it is paid, so that no access event is lost.
- Card payments are processed by our payment service provider. We do not store card numbers; we store the last four digits and the provider's reference so that a payment can be traced.
- Invoices are payable on the due date shown. We may charge interest on overdue amounts at the rate permitted by the Prescribed Rate of Interest Act.
- Subscription fees are not refundable for a period already billed, except where we terminate the service without cause.
4. Trials and demonstrations
Any evaluation or trial period, and any hardware supplied for it, is governed by the written trial terms given to you. Unless stated otherwise, a trial ends automatically, data captured during it is retained for 30 days after it ends and is then deleted, and a trial does not create an obligation to subscribe.
5. Your responsibilities
- Keep user credentials confidential, and tell us promptly if an account is compromised.
- Decide who in your organisation may see the access records you hold, and configure their roles accordingly.
- Make sure you have a lawful basis for capturing the identity documents you scan, and give the people you scan the notice they are entitled to. This is your obligation as the responsible party.
- Use the platform only for lawful access control, and not to track people for other purposes.
6. Support
Support is available to named administrators during business hours on [support telephone number] and [privacy contact email]. Response and resolution targets, where applicable, are set out in your subscription agreement; they are targets, not a guarantee.
7. Availability and maintenance
We aim to keep the platform available continuously. Planned maintenance is announced in advance where it will affect service. Access devices are designed to keep recording while the network or the platform is unavailable and to upload what they captured once connectivity returns, but we cannot guarantee the availability of your network, your electricity supply or your hardware.
8. Intellectual property
The ACS software, the platform, the documentation and this website are owned by ACS or its licensors. Your subscription gives you the right to use the platform for the period and scope paid for; it does not transfer ownership. The data you capture remains yours.
9. Liability
To the extent permitted by law, ACS is not liable for indirect or consequential loss, loss of profit or loss of business. Our total liability arising from the service in any 12-month period is limited to the subscription fees paid by you in that period. Nothing in these terms limits liability that cannot lawfully be limited, including under the Consumer Protection Act where it applies. ACS is not liable for a decision you or your staff take to admit or refuse a person, nor for the accuracy of the identity document presented at the gate.
10. Suspension and termination
Either party may terminate a subscription on 30 days' written notice, effective at the end of the current billing period. We may suspend the service immediately where a subscription is not paid, where we are required to by law, or where the platform is being used unlawfully or in a way that threatens other customers. On termination, you may export your records for 30 days; after that they are deleted, except where retention is required by law.
11. Privacy
Our handling of personal information is described in the privacy notice and the POPIA notice, which form part of these terms.
12. Governing law
South African law governs these terms, and the courts of South Africa have jurisdiction. The parties will try to resolve a dispute by discussion before approaching a court.
